Terms of Service

These terms govern your use of Modellot. Please read them carefully — they explain your rights and responsibilities as a user of the platform.

1. About Modellot

Modellot is a data contract governance and business reality modelling platform operated by Modellot AB, registered in Sweden. These Terms of Service govern your use of the Modellot platform accessible at modellot.com and through our API.

By creating an account or using Modellot, you agree to these terms. If you are using Modellot on behalf of a company or organisation, you confirm that you have authority to bind that entity to these terms.

2. Your account

To use Modellot you must create an account. You are responsible for:

Modellot provides tools to create, manage, and export data contracts in ODCS v3.1.0 format, model business reality, and govern data exchanges. The platform includes:

You may use Modellot only for lawful purposes and in accordance with these terms. You must not:

5. Your data and content

You retain all ownership rights to the data, blueprints, business descriptions, and contracts you create in Modellot. We do not claim ownership of your content.

By using Modellot you grant us a limited licence to process, store, and display your content solely for the purpose of providing the platform to you. This licence ends when you delete your account or the relevant content.

You are responsible for ensuring that any data you input into Modellot — including business descriptions processed by our AI features — does not include personal data beyond what is necessary for the service.

We will not access your content except to provide the service, respond to support requests, or where required by law.

6. No vendor lock-in and data portability

We believe you should always be in control of your data. Modellot is designed from the ground up to prevent vendor lock-in:

7. Subscription and billing

Modellot is available on a free tier and paid subscription tiers. Billing terms for paid plans:

Payment processing is handled by Paddle.com Market Ltd, our Merchant of Record. We do not store your payment card details.

The free tier is provided without charge and includes limited functionality. We reserve the right to:

9. Intellectual property

Modellot and its original content, features, and functionality are owned by Modellot AB and are protected by Swedish and international intellectual property law.

The ODCS v3.1.0 standard is owned by the Linux Foundation / Bitol project and licensed under open terms. Modellot's implementation of ODCS does not grant ownership of the standard itself.

You may not use the Modellot name, logo, or branding without our written permission.

Modellot uses AI to assist with business context extraction and data model generation. Important limitations:

11. Availability and uptime

We aim to provide a reliable service but do not guarantee uninterrupted availability. We may perform maintenance that temporarily affects access — we will provide advance notice where possible.

We are not liable for losses arising from service unavailability, data loss, or platform errors, except where required by mandatory applicable law.

12. Limitation of liability

To the maximum extent permitted by Swedish law, our total liability to you for any claim arising from your use of Modellot is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, data, or business opportunity.

Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under Swedish law.

13. Termination

You may close your account at any time from your account settings or by contacting us at privacy@modellot.com.

We may suspend or terminate your account if you breach these terms, if we are required to do so by law, or if we discontinue the service. We will provide notice except where immediate termination is required.

Upon termination, your right to use the platform ceases. We will delete your data in accordance with our Privacy Policy retention schedule.

14. Changes to these terms

We may update these terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Your continued use of Modellot after the effective date constitutes acceptance.

If you do not agree to updated terms, you may close your account before the effective date.

15. Governing law and disputes

These terms are governed by Swedish law. Any disputes arising from or relating to these terms or your use of Modellot shall be subject to the exclusive jurisdiction of the Swedish courts, with Stockholm District Court as the court of first instance.

If you are a consumer in the EU, you may also have rights under the law of your country of residence that cannot be excluded by this choice of law.

For disputes involving small amounts, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
