Terms of Service
These terms govern your use of Modellot. Please read them carefully — they explain your rights and responsibilities as a user of the platform.
1. About Modellot
Modellot is a data contract governance and business reality modelling platform operated by Modellot AB, registered in Sweden. These Terms of Service govern your use of the Modellot platform accessible at modellot.com and through our API.
By creating an account or using Modellot, you agree to these terms. If you are using Modellot on behalf of a company or organisation, you confirm that you have authority to bind that entity to these terms.
2. Your account
To use Modellot you must create an account. You are responsible for:
- Providing accurate and up-to-date information at registration
- Keeping your password secure and not sharing access credentials
- All activity that occurs under your account
- Notifying us immediately at privacy@modellot.com if you suspect unauthorised access
You must be at least 18 years old to create an account. Accounts are for business use — Modellot is not intended for consumer or personal use.
3. The service
Modellot provides tools to create, manage, and export data contracts in ODCS v3.1.0 format, model business reality, and govern data exchanges. The platform includes:
- AI-assisted business context extraction (powered by Anthropic Claude)
- Visual canvas for entity and flow modelling
- Data contract creation and management
- ODCS v3.1.0 export and sharing
- Compliance flagging for GDPR and EU Data Act
We reserve the right to modify, suspend, or discontinue features at any time. We will provide reasonable notice for material changes that affect existing functionality.
4. Acceptable use
You may use Modellot only for lawful purposes and in accordance with these terms. You must not:
- Use the platform to process data in violation of applicable law, including GDPR and the EU Data Act
- Attempt to gain unauthorised access to any part of the platform or its infrastructure
- Reverse engineer, decompile, or attempt to extract the source code of Modellot
- Use the platform to store or transmit malicious code or harmful content
- Resell or sublicense access to the platform without our written consent
- Use automated means to access the platform in a way that exceeds reasonable use
- Impersonate another person or entity, or misrepresent your affiliation
We may suspend or terminate accounts that violate these terms without prior notice where we determine the violation is serious.
5. Your data and content
You retain all ownership rights to the data, blueprints, business descriptions, and contracts you create in Modellot. We do not claim ownership of your content.
By using Modellot you grant us a limited licence to process, store, and display your content solely for the purpose of providing the platform to you. This licence ends when you delete your account or the relevant content.
You are responsible for ensuring that any data you input into Modellot — including business descriptions processed by our AI features — does not include personal data beyond what is necessary for the service.
We will not access your content except to provide the service, respond to support requests, or where required by law.
6. No vendor lock-in and data portability
We believe you should always be in control of your data. Modellot is designed from the ground up to prevent vendor lock-in:
- ODCS v3.1.0 export — every data contract you create can be exported at any time in the open ODCS v3.1.0 format, an industry standard maintained by the Linux Foundation. Your contracts are readable and usable by any tool that supports the standard.
- Full data export — you can request a complete export of all your blueprints, business contexts, and contracts at any time by contacting us at privacy@modellot.com. We will provide your data in a structured, machine-readable format within 30 days.
- No proprietary formats — we do not store your contracts in a proprietary format that requires Modellot to read or use.
- Migration assistance — if you decide to leave Modellot, we will help you migrate your data to another tool or your own infrastructure.
This commitment is also aligned with your rights under GDPR Article 20 (right to data portability) and the EU Data Act's data access and portability requirements.
7. Subscription and billing
Modellot is available on a free tier and paid subscription tiers. Billing terms for paid plans:
- Subscriptions are billed in advance on a monthly or annual basis
- Prices are shown in EUR excluding VAT where applicable
- EU businesses may be subject to reverse charge VAT — provide your VAT number at checkout
- You may cancel your subscription at any time — access continues until the end of the billing period
- We do not offer refunds for partial billing periods, except where required by applicable law or as described in our Refund Policy
- We reserve the right to change pricing with 30 days notice to existing subscribers
Payment processing is handled by Paddle.com Market Ltd, our Merchant of Record. We do not store your payment card details.
8. Free tier limitations
The free tier is provided without charge and includes limited functionality. We reserve the right to:
- Modify the features available on the free tier at any time
- Apply rate limits to free tier usage
- Discontinue the free tier with 30 days notice
Free tier accounts that are inactive for more than 12 months may be subject to deletion after notice.
9. Intellectual property
Modellot and its original content, features, and functionality are owned by Modellot AB and are protected by Swedish and international intellectual property law.
The ODCS v3.1.0 standard is owned by the Linux Foundation / Bitol project and licensed under open terms. Modellot's implementation of ODCS does not grant ownership of the standard itself.
You may not use the Modellot name, logo, or branding without our written permission.
10. AI features and limitations
Modellot uses AI to assist with business context extraction and data model generation. Important limitations:
- AI-generated output is a starting point — always review and validate before using in production or sharing with partners
- We do not guarantee the accuracy, completeness, or legal compliance of AI-generated content
- AI-generated output provides a structured foundation for your data contracts — you review, edit, and explicitly activate each contract before it takes effect. Modellot does not provide legal advice.
- The quality of AI output depends on the quality of input — vague descriptions produce less accurate results
11. Availability and uptime
We aim to provide a reliable service but do not guarantee uninterrupted availability. We may perform maintenance that temporarily affects access — we will provide advance notice where possible.
We are not liable for losses arising from service unavailability, data loss, or platform errors, except where required by mandatory applicable law.
12. Limitation of liability
To the maximum extent permitted by Swedish law, our total liability to you for any claim arising from your use of Modellot is limited to the amount you paid us in the 12 months preceding the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, data, or business opportunity.
Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under Swedish law.
13. Termination
You may close your account at any time from your account settings or by contacting us at privacy@modellot.com.
We may suspend or terminate your account if you breach these terms, if we are required to do so by law, or if we discontinue the service. We will provide notice except where immediate termination is required.
Upon termination, your right to use the platform ceases. We will delete your data in accordance with our Privacy Policy retention schedule.
14. Changes to these terms
We may update these terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Your continued use of Modellot after the effective date constitutes acceptance.
If you do not agree to updated terms, you may close your account before the effective date.
15. Governing law and disputes
These terms are governed by Swedish law. Any disputes arising from or relating to these terms or your use of Modellot shall be subject to the exclusive jurisdiction of the Swedish courts, with Stockholm District Court as the court of first instance.
If you are a consumer in the EU, you may also have rights under the law of your country of residence that cannot be excluded by this choice of law.
For disputes involving small amounts, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
